These Terms of Service ("Terms") govern your access to and use of the services provided by PostDex LTD ("PostDex", "we", "us", or "our"), a company registered in England and Wales. By accessing or using PostDex at https://postdex.ai or any related applications (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
Please read these Terms carefully. They contain important information about your legal rights and obligations, including limitations of liability and a governing law clause.

PostDex is an AI-powered marketing platform designed for local businesses. The Service includes:
We reserve the right to modify, add, or remove features from the Service at any time. Where a material change affects paid plan features, we will provide reasonable notice.
To use the Service, you must:
The Service is intended for business use. By using it, you represent that you are acting in a business capacity and not as a consumer for the purposes of any consumer protection legislation where such legislation would conflict with these Terms.
To access the Service you must register for an account. You agree to:
We reserve the right to suspend or terminate accounts that contain false, misleading, or outdated information, or where we have reason to believe account security has been compromised.
One account per business. You may not create multiple accounts for the same business to circumvent usage limits or free tier restrictions.
PostDex offers the following subscription tiers. Prices are displayed in your local currency at checkout based on your country. UK standard pricing in GBP is as follows:

All prices are billed in local currency where supported. IE prices billed in EUR. All other markets billed in GBP. All prices are exclusive of any applicable taxes. VAT, where applicable, will be added at checkout in accordance with applicable UK and EU law.
We reserve the right to change our pricing at any time. Existing subscribers will be given at least 30 days' advance written notice before any price changes take effect for their account. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.
The Free tier allows you to access a limited set of Service features at no cost. The Free tier is subject to the following conditions:
Use of the Free tier for any commercial or systematic content generation at scale, or to circumvent paid plan limits, is prohibited.
Founding Member pricing is a limited, one-time offer available to the first 100 subscribers only.
PostDex offers a Founding Member Programme with the following terms:

All payments are processed securely by Stripe, Inc. PostDex does not store your full card details. By providing payment information, you authorise us and Stripe to charge your payment method for all fees owing in connection with your Subscription.
You agree to:
If a payment fails, we will attempt to retry the charge. We reserve the right to downgrade your account to the Free tier or suspend access to paid features if payment remains outstanding for more than 7 days after a failed charge. We will notify you by email before taking such action.
All invoices and receipts are issued electronically. You agree to receive billing communications by email to the address associated with your account.
Your Subscription will automatically renew at the end of each billing period (monthly or annual) at the then-current price for your plan unless you cancel before the renewal date.
We will send you a renewal reminder email at least 7 days before the annual renewal date. It is your responsibility to cancel prior to renewal if you do not wish to be charged for the next period.
You can cancel automatic renewal at any time by visiting your account settings or contacting support@postdex.ai.
You may cancel your Subscription at any time. Cancellations take effect at the end of your current billing period. You will continue to have access to paid features until that date.
To cancel:
Cancellation of a Subscription does not delete your account or your data. Your business profile, posts, and history are retained. You may resubscribe at any time, subject to the pricing in effect at that time (and loss of Founding Member pricing, where applicable).
If you wish to permanently delete your account and all associated data, you must make a separate deletion request in accordance with our Privacy Policy.
We operate a fair and transparent refund policy:
Monthly subscription fees are non-refundable once a billing period has commenced. If you cancel a monthly plan, you retain access until the end of the current billing month but no partial refund is issued.
For annual subscriptions, if you cancel within 14 days of your initial annual payment (and have not made significant use of the Service), you are entitled to a full refund under UK consumer contract regulations. After 14 days, annual subscriptions are non-refundable for the remainder of the annual term.
We may, at our sole discretion, issue refunds or credits in exceptional circumstances including but not limited to:
To request a refund, contact support@postdex.ai with your account details and the reason for your request within the applicable timeframe.
If you initiate a chargeback or payment dispute without first contacting us to resolve the issue, we reserve the right to suspend your account pending resolution and to recover any reasonable costs incurred as a result of the dispute process.
PostDex uses large language model (LLM) AI technology to generate social media posts, review responses, marketing copy, and other content on your behalf. By using AI content generation features, you acknowledge and agree to the following:
To the extent permitted by law, PostDex assigns to you all intellectual property rights in AI-Generated Content produced specifically for your account and business. We retain no licence to use your AI-Generated Content for any purpose other than operating and improving the Service, subject to our Privacy Policy.
PostDex allows you to connect your Facebook and Instagram business accounts for the purpose of scheduling and auto-posting content. By connecting your social media accounts, you agree to the following:
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
Breach of this section may result in immediate account suspension or termination without refund.
The Service, including its software, design, features, branding, trademarks, and all underlying technology, is owned by PostDex LTD and protected by UK and international intellectual property law. Nothing in these Terms grants you any rights in the Service beyond those necessary to use it as permitted.
You retain ownership of all business information, content, and data you provide to the Service ("Your Data"). By using the Service, you grant PostDex a limited, non-exclusive licence to use Your Data solely for the purpose of providing the Service to you. We will not sell, share, or use Your Data for any purpose other than operating and improving the Service, subject to our Privacy Policy.
If you provide feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose. We are not obligated to compensate you or keep such feedback confidential.
You are solely responsible for all content you create, upload, input, or publish through the Service. This includes business profile information, writing samples provided for brand voice calibration, Spark Box inputs (photos, voice notes, ideas), and any content you choose to publish to social media via PostDex.
By submitting content to the Service, you represent and warrant that:
Your privacy matters to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
PostDex processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For details on the personal data we collect, how we use it, your rights, and how to exercise them, please read our Privacy Policy in full.
By using the Service, you consent to the processing of your data as described in the Privacy Policy.
The Service integrates with and relies on a number of third-party platforms and services, including but not limited to:
Your use of the Service is also subject to the terms and privacy policies of these third parties where applicable. PostDex is not responsible for the practices, outages, or policy changes of any third-party service provider.
We aim to maintain high availability of the Service but we do not guarantee uninterrupted access. The Service may be unavailable due to:
We will make reasonable efforts to restore service as quickly as possible. PostDex will not be liable for any loss or damage arising from unavailability of the Service.
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable prior notice, except where immediate action is required for security or legal reasons.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
Subject to the above, PostDex's total aggregate liability to you in connection with the Service, whether arising in contract, tort (including negligence), or otherwise, shall not exceed the greater of:

You agree to indemnify, defend, and hold harmless PostDex LTD, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
The Service is provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, to the fullest extent permitted by law. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Any advice or recommendations provided through the Service (including through the Dex AI assistant) are for informational purposes only and do not constitute professional marketing, legal, or business advice.
You may terminate your account at any time by cancelling your Subscription and requesting account deletion via support@postdex.ai.
We may suspend or terminate your account immediately, with or without prior notice, if:
We may also terminate the Service entirely on 60 days' written notice to all users.
Upon termination:
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
You and PostDex irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
If you are a consumer resident in Scotland or Northern Ireland, you may also have the right to bring proceedings in the courts of your country of residence.
Before bringing any formal legal claim, we encourage you to contact us at support@postdex.ai to attempt to resolve the matter informally. We will acknowledge your complaint within 2 Business Days and work in good faith to reach a resolution within 14 Business Days.
If we are unable to resolve the matter informally within 30 days, either party may pursue the dispute through the courts of England and Wales as set out in Section 24.
We may update these Terms from time to time. When we do:
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your Subscription before the effective date.
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and PostDex with respect to the Service and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets, provided we give you reasonable notice.
Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and PostDex.
PostDex shall not be liable for any delay or failure to perform its obligations where such delay or failure results from any cause beyond our reasonable control, including natural disasters, acts of government, infrastructure failures, cyberattacks, pandemics, or failures of third-party service providers.
